These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and Greenius, LLC ("Greenius," "we," "us") governing your access to and use of the Greenius platform, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
Greenius provides enterprise software for data integration, compliance automation, market intelligence, and system integration for the legal cannabis industry. Services are provided on a subscription basis as described in your applicable order form or subscription plan.
To use our Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.
Services are offered under subscription plans with pricing as described on our website or in your order form. We reserve the right to change pricing with 30 days' written notice. Price changes do not apply to the current billing period.
Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Payment is due on the first day of each billing period. All fees are quoted and payable in U.S. dollars.
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Annual subscriptions renew for successive one-year terms; monthly subscriptions renew month-to-month.
Payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your designated payment method for all fees due. Failed payments may result in service suspension after a 7-day grace period.
You may cancel your subscription at any time through your account settings or by contacting us at . Cancellation takes effect at the end of your current billing period.
Monthly plans: No refunds for partial months. Your access continues through the end of the current billing period after cancellation.
Annual plans: If you cancel within 30 days of your initial subscription or annual renewal, you are eligible for a prorated refund for the unused portion. After 30 days, no refunds are issued; your access continues through the end of the annual term.
Refund requests: Contact with your account email and reason for cancellation. Refunds are processed within 5-10 business days to the original payment method.

All content, software, APIs, documentation, and materials provided through the Services are the intellectual property of Greenius, LLC and are protected by applicable copyright, trademark, and trade secret laws. Your subscription grants a limited, non-exclusive, non-transferable license to use the Services for your internal business operations during the subscription term.
You retain all rights to data you submit to the Services ("Customer Data"). You grant Greenius a limited license to process Customer Data solely for the purpose of providing and improving the Services. We will not access, use, or disclose Customer Data except as necessary to provide the Services, comply with law, or as otherwise authorized by you.
We target 99.99% uptime for our production infrastructure, measured monthly. Scheduled maintenance windows are excluded. Service level credits, if applicable, are described in your order form. Uptime targets are operational goals, not guarantees, unless a separate SLA has been executed.
To the maximum extent permitted by law, Greenius's total liability for any claims arising from or related to the Services shall not exceed the total fees paid by you in the 12 months preceding the claim. Greenius shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the theory of liability.
The Services are provided "as is" and "as available." Greenius disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or meet your specific requirements.
You agree to indemnify and hold Greenius harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate the agreement for cause if the other party materially breaches these Terms and fails to cure within 30 days of written notice. We may suspend or terminate access immediately if we reasonably believe your use violates applicable law or poses a security risk. Upon termination, your right to access the Services ceases. You may request export of your Customer Data within 30 days of termination.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice via email or a prominent notice on our website. Continued use of the Services after changes take effect constitutes acceptance.
